I [the client] accept this contact is inclusive of all future services provided by
22 Century Design Ltd, trading as
22 Century Design & Marketing.

Design service, also referred to as ‘deliverables’ or ‘assets’.

1.1.  Invoices for design services will be issued to the client via email to the accounts payable email address provided by the client or held as per our Terms & Conditions viewable online at 22centurydesign.com/terms. Regular hard copy invoices can be provided if requested by the client and issued to an accounts payable postal address provided.

 

1.2.  Invoice payment terms of “Net14”, payments must be received no later than 14 days after the date stated on the invoice via bank transfer to the details as shown on the invoice, or if applicable, via online card payment/direct debit agreement. Failure to send payment within the 14 day period will incur a daily interest rate of 8% over the Bank of England base rate which will be added to the following invoice and/or charged separately, the clients account may also be put on credit hold if payments are not made.

 

1.3. 22 Century Design Ltd reserves the right to collect overdue, outstanding or default payments via a third part Debt Collection company if payment has not been made within the agreed time-frame outlined within the Contract of Services, Service Agreements and/or Terms & Conditions.

 

1.4. 22 Century Design Ltd clients on an ad-hoc or one-off service agreement will be required to pay an initial deposit of 50% to secure allocated time and/or purchase initial assets, work will not commence until deposit has been paid within the timeframe stated within the invoice of deposit. See section 6 for further deposit information.

 

1.5. 22 Century Design Ltd clients on an on-going or retainer service plan, will be invoiced monthly. 22 Century Design Ltd does not refund partial month payments. See section 6 for further deposit information.

2.1.  Design services, deliverables or assets will be produced to a set and confirmed timeframe with updates and prompts for the client to provide any information, resource or issue approval. Should the client fail to meet the reminder prompts via email or software to deliver the necessary information to 22 Century Design Ltd and cause a delay in the project timeframes it will result in a day-for-day extension of the projects final deadline, which will result in the following additional fees being charged at our standard hourly rate at time of work being carried out (currently £60.00).

 

2.2. Delays which extend more than 5 working days may incur a ‘project pause’ fee which is 20% of the project total cost. Dependant on current workload this may have an impact on the overall project timeframe.

3.1. All deliverables need to be approved by the client within 5 working days of being notified either via email or software. Failure to approve content will result in a production delay which can result in ‘day-for-day’ extension incurring additional fees being charged, see section 2.1.

4.1. The services carried out by 22 Century Design Ltd are non-exclusive, 22 Century Design Ltd is free to provide these same services to other business’ in similar / same industries and competitive space, however, 22 Century Design Ltd will ensure all deliverables are bespoke to the clients business, requirements, targets, audience and strategy.

 

4.2. 22 Century Design Ltd is not obliged to inform a client of a similar competitor for the same service.

5.1.  22 Century Design Ltd warrant all deliverables provided are original and does not infringe on the intellectual property of others to the best of our knowledge.

 

5.2. Any information, resource or project components provided by the client must have full legal access to use within a marketing / advertising capacity by the original holder.

 

5.3. Any stock imagery source by 22 Century Design Ltd will be licensed to 22 Century Design Ltd and the client does not own the rights to use the image elsewhere outside of deliverable provided in their original form.

6.1. 22 Century Design Ltd clients on an on-going service plan, such as, but not limited to, social media, marketing, consultancy, freelance, maintenance, or similar may cancel their plan, with 14 days prior written notice. 22 Century Design Ltd does not refund partial month payments. Cancellation only applies after the 14 day cancellation waiting period is over. Client will be charged for any work undertaken during the 14 day cancellation period.

 

6.2. 22 Century Design Ltd clients on an ad-hoc or one-off service agreement may cancel agreed services, with 14 days prior written notice. 22 Century Design Ltd does not refund deposits. Cancellation only applies after the 14 day cancellation waiting period is over. Client will be charged for any work undertaken during the 14 day cancellation period.

 

6.3. 22 Century Design Ltd clients on a buy-online service, such as, but not limited to, individual consultancy, mentoring, tuition, or similar may cancel their plan, with 7 days prior written notice. 22 Century Design Ltd does not refund payment taken online. Cancellation only applies after the 7 day cancellation waiting period is over. Client will be charged for any services completed during the 7 day cancellation period. Client reserve the right to postpone their scheduled buy-online services, with 7 days prior written notice, subject to 22 Century Design Ltd availability.

 

6.4. 22 Century Design reserve the right to terminate the contract with a client for any given reason with immediate effect. 22 Century Design will notify the client formally of termination via email and postal letter.

 

6.5. 22 Century Design reserved the right to refuse deliverables should the content fall into any of the following categories: prejudice of any kind, illegal, immoral or offensive.

 

6.6. We do not offer refunds for any service or products purchased from 22 Century Design Ltd including, but not limited to; creative or visual projects, buy-online products or assets, consultancy, mentoring, tuition, maintenance, marketing tools, third-party products / services / software / licenses which may have been supplied by 22 Century Design Ltd.

7.1.  Any content, information, text, images or trademarks provided by the client will retain the clients intellectual property ownership in those elements. Section 5.2 of the contract states that 22 Century Design Ltd are not held responsible for any intellectual property infringements arising out of use of client content in any deliverables.

8.1. 22 Century Design Ltd retain ownership of all deliverables during and post contracted terms, the client will not own any rights to the deliverable outside of their original intention and will not be permitted to change the deliverables in any way or alter their use / destination. Once the client leaves the contract the client can no-longer use, manipulate, modify or recreate the deliverables provided by 22 Century Design Ltd. Permissions for access can be granted, however, they must be formally applied in writing via email or postal letter, this access may incur a transfer charge of 10% of the entire project cost.

 

8.2. 22 Century Design Ltd reserve the right to copyright and feature the trading name
“22 Century Design Ltd” on any work carried out. Removal of this will incur a ‘de-branding fee’ charged at 10% of the project total costs to remove any names, references, features, images or links directly to 22 Century Design Ltd, this charge is not included in any initial quote or estimate unless specifically stated. If you wish to remove 22 Century Design Ltd from a specific project, the client must formally apply in writing via email or postal letter to 22 Century Design for review and consultation.

9.1. The client does not retain any ownership of tools or software provided by 22 Century Design Ltd during or post contacted terms. The client does not own any information stored on tools or software and access will be revoked from the client at the end or termination of the contact.

9.2. 22 Century Design Ltd will be the preferred supplier of; website hosting, domain supply, email hosting, SSL licenser for all bespoke built websites. All other service or product providers requiring access to a 22 Century bespoke built website will need to sign a warranties and liabilities waiver, and the client will be charged a competitor access fee of 10% of the website value. 

9.3. A website migration fee will be charged to move a bespoke built website away from 22 Century Design Ltd server, this cost will be 10% of the website value payable by the client in full in advance of a migration progress. Please note a migration can take up to 72 hours to process. The client will need to sign a warranties and liabilities waiver.

9.4. 22 Century Design Ltd does not have control over the policies, and practices, of third party companies / websites such as, but not limited to; Google, Google My Business, Chrome, MailChimp, Hootsuite, HubSpot and Trello, or similar sites/directories.

9.5. 22 Century Design Ltd does not have control over third party social media companies and practices such as, but not limited to; Facebook, Twitter, Instagram, LinkedIn, or similar businesses.

9.6. Client assumes all risk, responsibility for all client website(s) content, photos, social media content, and graphics. Client also assumes all risk, and responsibility, for content that is posted to any social media site, by 22 Century Design Ltd, on the client’s behalf.
